1. Acceptance of Terms

By accessing or using WealthWise (the "Service"), you agree to comply with and be bound by these Terms of Service, our Privacy Policy, and any additional terms and conditions that may apply to specific features or services.

These Terms constitute a legally binding agreement between you ("you," "your," or "User") and WealthWise ("we," "our," or "us"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

You must meet the following requirements to use WealthWise:

• Age Requirement: You must be at least 18 years of age to create an account and use the Service.
• Legal Capacity: You must have the legal capacity to enter into a binding contract.
• Compliance: Your use of the Service must not violate any applicable laws or regulations.
• Prohibited Persons: You must not be a person barred from using the Service under the laws of the United States or any other applicable jurisdiction.

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion, including but not limited to, if we believe you have violated these Terms.

3. Account Registration and Security

3.1 Account Creation

To use WealthWise, you must create an account by providing:

• A valid email address
• A secure password
• Your first and last name
• Other information as requested during the registration process

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Use a strong, unique password for your WealthWise account
• Not share your password with anyone
• Notify us immediately of any unauthorized use of your account
• Log out of your account at the end of each session when using a shared or public computer

We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided is inaccurate, not current, or incomplete.

4. Description of Service

WealthWise is a personal finance management platform that provides:

• Account Aggregation: Connection to your financial accounts via third-party services (SimpleFIN, Plaid) to automatically sync balances and transactions
• Net Worth Tracking: Calculation and visualization of your net worth based on connected accounts and manual entries
• Transaction Management: Automatic and manual categorization of transactions, custom categorization rules, spending analysis
• Retirement Planning: AI-powered retirement plan generation based on your financial data, goals, and risk tolerance
• Financial Advisor Chatbot: AI-powered conversational assistant that provides personalized financial advice based on your actual financial data
• Financial Analytics: Income analysis, cash flow tracking, savings rate calculation, and other financial metrics

5. User Obligations and Conduct

5.1 Acceptable Use

You agree to use WealthWise only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service in any way that violates any applicable federal, state, local, or international law or regulation
• Impersonate or attempt to impersonate WealthWise, a WealthWise employee, another user, or any other person or entity
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
• Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any material
• Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service
• Attack the Service via a denial-of-service attack or a distributed denial-of-service attack
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service
• Use the Service to transmit or store any content that infringes upon any person's intellectual property rights
• Share, transfer, or otherwise provide access to your account to any third party

5.2 Financial Account Access

When you connect your financial accounts to WealthWise via SimpleFIN or Plaid:

• You authorize WealthWise to access your account information on your behalf
• You are responsible for ensuring you have the right to grant such access
• You acknowledge that your financial institution's terms of service may apply
• You can revoke access at any time by disconnecting your accounts within WealthWise

6. Third-Party Services

6.1 Account Aggregation Services

WealthWise uses third-party services (SimpleFIN, Plaid) to connect to your financial institutions. By using these features, you acknowledge that:

• These third-party services have their own terms of service and privacy policies
• WealthWise is not responsible for the actions or omissions of these third parties
• You grant these third parties permission to access your financial account information
• Connection availability and data accuracy depend on these third-party services

6.2 AI Services

WealthWise uses Anthropic's Claude AI for transaction categorization and the financial advisor chatbot. By using these features:

• You acknowledge that AI-generated responses may contain errors or inaccuracies
• You agree that AI-generated advice is for informational purposes only and does not constitute professional financial advice
• Transaction descriptions (but not account numbers or Social Security numbers) are sent to Anthropic for processing
• Anthropic's terms of service and data processing terms apply

6.3 No Endorsement

WealthWise does not endorse, warrant, or guarantee any third-party services, products, or providers. Any dealings you have with third parties while using the Service are solely between you and the third party.

7. Fees and Payment

7.1 Current Pricing

WealthWise is currently offered at no charge. We reserve the right to introduce fees for the Service or certain features in the future.

7.2 Future Pricing Changes

If we introduce fees:

• We will provide at least 30 days' advance notice via email
• You may cancel your account before fees take effect
• Continued use after fees are introduced constitutes acceptance of the new pricing
• Pricing will be clearly displayed on our website and in your account settings

8. Intellectual Property Rights

8.1 WealthWise Ownership

The Service and its original content, features, and functionality are and will remain the exclusive property of WealthWise and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

8.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use.

8.3 Your Content

You retain all rights to any data, information, or content you provide to WealthWise ("Your Content"). By using the Service, you grant WealthWise a worldwide, non-exclusive, royalty-free license to use, process, store, and display Your Content solely for the purpose of providing and improving the Service.

You represent and warrant that:

• You own or have the necessary rights to Your Content
• Your Content does not violate any third-party rights
• Your Content does not violate any applicable laws

9. Disclaimers and Limitations of Liability

9.1 No Financial Advice

9.2 Service Provided "AS IS"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy, reliability, or completeness of any content, data, or information provided through the Service
• Warranties that defects will be corrected or that the Service is free of viruses or other harmful components

9.3 Data Accuracy

While we strive for accuracy, WealthWise does not warrant that:

• Financial account balances and transactions are accurate or current (delays may occur with third-party data providers)
• AI-generated categorizations are correct
• Retirement projections or financial calculations are accurate
• Third-party data feeds are complete or reliable

You are responsible for verifying the accuracy of all financial information displayed in WealthWise.

9.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEALTHWISE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenues, data, use, goodwill, or other intangible losses
• Any damages resulting from your use or inability to use the Service
• Any damages resulting from unauthorized access to or alteration of your data
• Any damages resulting from any third-party conduct or content on the Service
• Any financial losses resulting from decisions made based on information provided by the Service

IN NO EVENT SHALL WEALTHWISE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU TO WEALTHWISE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9.5 Third-Party Services

WealthWise is not responsible for:

• Errors, delays, or failures in third-party data feeds (SimpleFIN, Plaid, financial institutions)
• AI inaccuracies or hallucinations from Anthropic's Claude API
• Changes to or discontinuation of third-party services
• Security breaches at third-party service providers

10. Indemnification

You agree to defend, indemnify, and hold harmless WealthWise and its affiliates, officers, directors, employees, agents, partners, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your Content
• Any financial decisions you make based on information from the Service

11. Data Security and Privacy

WealthWise takes data security seriously and implements industry-standard security measures to protect your information. However, no method of transmission over the internet or electronic storage is 100% secure.

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in the Privacy Policy.

12. Service Modifications and Termination

12.1 Modifications to Service

We reserve the right to:

• Modify, suspend, or discontinue any aspect of the Service at any time
• Change, add, or remove features
• Impose limits on certain features or restrict access to parts of the Service

We will make reasonable efforts to notify you of material changes via email or through the Service.

12.2 Termination by You

You may terminate your account at any time by:

• Using the account deletion feature in your account settings, or
• Contacting us at support@imwealthwise.com

Upon termination, your data will be retained according to our data retention policy (7 years for financial records as required by law).

12.3 Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, including if:

• You violate these Terms
• We suspect fraudulent, abusive, or illegal activity
• We discontinue the Service
• Required by law

12.4 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account and data (subject to legal retention requirements)
• Sections of these Terms that by their nature should survive termination will survive (including ownership provisions, warranty disclaimers, and limitations of liability)

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before filing a claim, you agree to contact us at support@imwealthwise.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute in good faith within 30 days.

13.2 Binding Arbitration

If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), except as modified by these Terms.

The arbitration shall be conducted in the county where you reside or another mutually agreed location. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND WEALTHWISE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13.4 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or the Service (excluding arbitration) shall be brought exclusively in the federal or state courts located in California, and you consent to the personal jurisdiction of such courts.

15. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date at the top of these Terms
• For material changes, we will notify you via email or prominent notice within the Service
• Material changes will take effect 30 days after notification
• Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms

If you do not agree to the modified Terms, you must stop using the Service and terminate your account.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WealthWise regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

WealthWise shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

16.6 Export Control

The Service may be subject to U.S. export control laws. You agree to comply with all applicable export and re-export control laws and regulations.

16.7 Electronic Communications

By using the Service, you consent to receive electronic communications from us, including emails, notifications through the Service, and messages to your mobile device. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
